Terms of Service

These Terms govern use of Yuvavi POS in India. Please read carefully. By registering or using the Service, you agree to these Terms and our Privacy Policy.
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you (the individual or business using the Service) and the operator of Yuvavi POS ("we," "us," or "our"), for use of https://pos.yuvavi.ai and related applications (the "Service").
If you accept on behalf of a company or restaurant, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
2. Description of Service
Yuvavi POS is a cloud software platform for restaurants and food businesses, which may include point of sale, kitchen display, table/QR ordering, menu management, inventory, CRM, reporting, Design Studio, Social Hub, WhatsApp Business tools, and integrations with third parties (payment gateways, Meta, Google, messaging providers, etc.).
Features available to you depend on your plan, configuration, and third-party approvals (for example Meta App Review or WhatsApp Business verification). We may add, change, or discontinue features with reasonable notice where practicable.
3. Eligibility & account
- You must be at least 18 years old and capable of entering a contract under Indian law.
- You must provide accurate registration and business information and keep it updated.
- You are responsible for all activity under your account and for keeping login credentials confidential.
- Notify us promptly of unauthorized access at support@yuvavi.com.
- We may suspend accounts that appear fraudulent, abusive, or in material breach of these Terms.
4. Your restaurant & compliance responsibilities
You remain solely responsible for:
- Your food business operations, menu accuracy, pricing, taxes (including GST), FSSAI and other licences, and compliance with local laws
- Orders, payments taken from guests (cash/UPI/card at your premises), refunds to guests, and disputes with your customers
- Staff access, tips, settlement, and cash register practices
- Personal data of your guests and contacts you collect (consents, notices, retention) — see our Privacy Policy on roles
- Content you publish via Social Hub, WhatsApp, or Design Studio (ads, claims, copyrights)
- Compliance with Meta, Google, WhatsApp, and payment-provider rules for any integration you enable
The Service is a tool. We are not a party to transactions between you and your diners, except where we process your subscription fee to us.
5. Acceptable use
You agree not to:
- Violate Indian or other applicable law, or third-party rights
- Upload malware, scrape the Service abusively, or attempt unauthorized access
- Use the Service for spam, phishing, illegal marketing, or prohibited goods/services
- Interfere with other customers or our infrastructure
- Resell or white-label the Service without our written permission
- Misrepresent affiliation with Yuvavi POS or use our marks without permission
6. Subscriptions, fees, GST & refunds
- Paid plans are billed as stated at checkout or in your commercial order form (monthly/annual).
- Prices may be shown exclusive or inclusive of GST; applicable GST will be charged as required by Indian tax law.
- Fees are generally non-refundable except where required by law or expressly stated in a written refund policy for your plan.
- Failed payment may result in suspension after notice. You remain responsible for amounts owed for periods used.
- We may change pricing with advance notice for renewals; continued use after renewal constitutes acceptance.
7. Intellectual property
We (and our licensors) own the Service, software, branding, documentation, and related IP. Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal restaurant business during the subscription term.
You retain ownership of your menu content, logos, guest data, and materials you upload ("Customer Content"). You grant us a licence to host, process, transmit, and display Customer Content solely to provide and improve the Service. You represent you have rights to upload such content.
8. Third-party services
Integrations (Meta/Facebook/Instagram, WhatsApp, Google, payment gateways, SMS/OTP providers, etc.) are optional and subject to those providers' terms. We are not responsible for outages, policy changes, API limits, account bans, or fees charged by third parties. Your continued use of an integration constitutes acceptance of that provider's rules.
9. Availability & support
We aim for high availability but do not guarantee uninterrupted or error-free Service. Maintenance, force majeure, internet/provider failures, or third-party API issues may cause downtime. Support is provided via support@yuvavi.com and channels we designate for your plan. Service levels, if any, are only those in a signed SLA.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT DATA WILL NEVER BE LOST — YOU SHOULD MAINTAIN APPROPRIATE BACKUPS OF CRITICAL BUSINESS RECORDS.
Nothing in these Terms excludes liability that cannot be excluded under applicable Indian consumer or other mandatory law.
11. Limitation of liability (important)
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, goodwill, data, or business opportunity; or cost of substitute services — whether based on contract, tort (including negligence), or otherwise — even if advised of the possibility.
- Our total aggregate liability for all claims arising out of or related to the Service or these Terms (including multiple claims treated as one) shall not exceed the lower of: (a) the total subscription fees you actually paid to us for the Service in the one (1) calendar month immediately preceding the first claim; or (b) INR 1,000. If you have paid no such fees, our total liability is limited to INR 1,000.
- We are not liable for guest order errors, kitchen delays, tax misconfiguration, settlement mistakes by your staff, payment disputes with your customers, third-party platform outages (including Meta, Google, WhatsApp, or payment gateways), or decisions you make based on reports or analytics.
- These limits apply even if a limited remedy fails of its essential purpose, except to the extent liability cannot be limited under mandatory Indian law (for example proven fraud or wilful misconduct by us, where such exclusion is not allowed).
If a court finds any limitation unenforceable, our liability is limited to the maximum extent still permitted by law.
12. Indemnity
You agree to indemnify and hold us harmless from claims, losses, damages, and reasonable costs (including legal fees) arising from: (a) your Customer Content; (b) your use of the Service in violation of these Terms or law; (c) your guests or staff; (d) your tax, FSSAI, labour, or advertising compliance; or (e) your use of third-party integrations.
13. Suspension & termination
You may stop using the Service and request account closure subject to our Privacy Policy on data retention. We may suspend or terminate access for material breach, non-payment, legal risk, or misuse, with notice where reasonably practicable. Upon termination, your licence ends; Sections that by nature should survive (including IP, liability limits, indemnity, governing law) survive.
14. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, riots, government action, epidemic, power or internet failure, or major third-party platform outages — provided the affected party uses reasonable efforts to mitigate.
15. Changes to Terms
We may update these Terms from time to time. The "Last updated" date will change. Material changes will be notified by email or in-product notice where practicable. Continued use after the effective date constitutes acceptance, except where mandatory law requires otherwise.
16. Governing law & dispute resolution
These Terms are governed by the laws of India. Subject to mandatory consumer protections (if any apply), courts at Indore, Madhya Pradesh, India shall have exclusive jurisdiction over disputes arising from these Terms or the Service, without prejudice to our right to seek interim relief elsewhere.

17. General
- Entire agreement: These Terms and the Privacy Policy (and any signed order form/SLA) are the entire agreement regarding the Service.
- Severability: If a provision is unenforceable, the remainder stays in effect.
- Waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign without our consent; we may assign to an affiliate or successor.
- Notices: We may notify you via account email/phone or in-product messages.
- Language: English controls. Any translation is for convenience only.
